Important notice
PLEASE READ THESE MARKETPLACE TERMS CAREFULLY BEFORE PURCHASING OR USING ANY THIRD-PARTY PRODUCT FROM THE QUOX MARKETPLACE. These terms govern your use of the Quox Marketplace and your relationship with Quox LTD as a marketplace operator. By purchasing or installing any product from the Marketplace, you agree to be bound by these terms.
1. Definitions
In these Marketplace Terms of Service ("Marketplace Terms"), the following definitions apply:
- "Marketplace" means the Quox Marketplace, a platform operated by Quox LTD where third-party Developers list and offer Products for purchase or download by End Users.
- "Products" means plugins, workflows, agents, integrations, templates, community subscriptions, and any other digital content or services offered by Developers through the Marketplace.
- "Developer" (also referred to as "Seller") means any independent third-party individual or entity that creates and offers Products through the Marketplace under a separate Developer Agreement with Quox.
- "End User" (also referred to as "Buyer" or "you") means any individual or entity that browses, purchases, downloads, or uses Products from the Marketplace.
- "Quox" means Quox LTD, a company registered in England and Wales, with registered address at Suite RA01, 195-197 Wood Street, London, E17 3NU, United Kingdom. References to "we", "us", or "our" refer to Quox LTD.
- "EULA" means the End User Licence Agreement provided by a Developer for their Product, which governs your use of that Product.
- "Verified Developer" means a Developer whose legal identity has been confirmed through Companies House registration records and/or government-issued identification, as described in Section 9 of these terms.
2. The Marketplace
2.1 Quox as a venue
Quox operates the Marketplace as a venue and platform only. The Marketplace connects End Users with independent third-party Developers who offer their Products for purchase or download. Quox is NOT the seller, manufacturer, or creator of any third-party Product listed on the Marketplace.
2.2 Quox is not a party to the transaction
Quox is NOT a party to any transaction between a Developer and an End User. When you purchase a Product from the Marketplace, the contract of sale is formed directly between you and the Developer. Quox facilitates the transaction by hosting the Marketplace and processing payments, but does not participate in the sale itself.
2.3 No endorsement
Quox reviews each Product before it goes live on the Marketplace. That review is not a comprehensive security audit, does not constitute an endorsement, recommendation, or guarantee by Quox, and is not a warranty that a Product is free of defects, security vulnerabilities, or bugs. Quox does not otherwise test, audit, or certify the quality, security, reliability, fitness, or legality of any third-party Product unless expressly stated otherwise.
2.4 Automated security scanning
Quox performs automated security scanning on Marketplace submissions. This scanning checks for known malware signatures and common security vulnerabilities only. It is NOT a comprehensive security audit and does NOT guarantee that a Product is free of security vulnerabilities, bugs, or defects. Developers remain solely responsible for the security and quality of their Products.
3. Purchases
3.1 Payment processing
All payments for Marketplace Products are processed via Stripe. When you make a purchase, the Developer is the merchant of record. Quox acts as a commercial agent, facilitating payment collection on behalf of the Developer. The Developer's business name will appear on your bank or card statement.
3.2 Pricing
All prices displayed on the Marketplace are set by the Developer. Quox does not control or determine pricing for third-party Products. Prices are displayed inclusive of applicable taxes where required. The total price, including all charges, is displayed before you confirm your purchase.
3.3 Application fee
Quox collects a platform commission (application fee) from each transaction. This fee is deducted from the Developer's payment and does not affect the price you pay.
3.4 Subscription products
Some Products may be offered on a subscription basis. Subscription terms, including billing frequency and renewal conditions, are set by the Developer and displayed on the Product listing. You will receive a reminder notification before any subscription renewal charge. You may cancel subscriptions at any time through your account settings, and cancellation will take effect at the end of your current billing period.
4. Licences
4.1 Products are licensed, not sold
Products purchased through the Marketplace are licensed, not sold. The Developer grants you a licence to use the Product in accordance with the Developer's EULA.The licence is between you and the Developer only, and not with Quox. The Developer, not Quox, is solely responsible for the Product.
4.2 EULA terms
Each Product is subject to the Developer's EULA. You must review and accept the Developer's EULA before purchasing or installing a Product. If a Developer does not provide a custom EULA, the Quox default EULA template applies. In either case, Quox is not a party to the EULA.
4.3 Third-party beneficiary
Quox LTD and its subsidiaries are third-party beneficiaries of every EULA between a Developer and an End User. As a third-party beneficiary, Quox has the right (and is deemed to have accepted the right) to enforce the EULA against you.
4.4 Licence scope
Unless the Developer's EULA specifies otherwise, your licence is non-exclusive, non-transferable, and revocable. The licence permits you to use the Product within your Quox workspace for personal or commercial purposes, subject to the EULA terms.
5. Refunds
5.1 Refund window
You may request a refund within 14 days of purchase. This period aligns with the statutory cooling-off period under UK consumer protection law. After 14 days, refunds are at the Developer's sole discretion.
5.2 Refund processing
Refunds are processed by the Developer via Stripe. Since the Developer is the merchant of record, the Developer issues the refund. Quox may facilitate communication between you and the Developer regarding refund requests, but is not obligated to do so and is not responsible for issuing refunds.
5.3 Refund for removed products
If a Product is removed from the Marketplace due to a violation of the Developer Agreement or Acceptable Use Policy, Quox may, at its sole discretion, facilitate a refund from the Developer's held funds. Any such refund is a gesture of goodwill and does not create an obligation or precedent.
5.4 Chargebacks and disputes
Payment disputes and chargebacks are between you and the Developer's payment account. The Developer is responsible for responding to disputes and bears the chargeback fee. Quox is not a party to payment disputes.
6. No warranty from Quox
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Third-party Products available through the Quox Marketplace are provided "AS IS" and "AS AVAILABLE." Quox makes NO warranties, express or implied, regarding any third-party Product, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, security, or accuracy.
Quox does NOT warrant that any third-party Product will:
- Be compatible with your systems or meet your requirements
- Operate without interruption or be error-free
- Be free of security vulnerabilities, bugs, or defects
- Produce accurate or reliable results
- Comply with applicable laws in your jurisdiction
- Be maintained or supported by the Developer
All representations regarding product quality, functionality, security, and fitness are made by the Developer, not by Quox. You should conduct your own due diligence before purchasing or installing any third-party Product.
7. Limitation of liability
7.1 Excluded damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOX LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM OR RELATING TO THIRD-PARTY PRODUCTS, INCLUDING BUT NOT LIMITED TO:
- Data loss or corruption caused by any third-party Product
- Security breaches or vulnerabilities introduced by any third-party Product
- System downtime or disruption resulting from the installation or use of any third-party Product
- Financial loss of any kind, including lost revenue, lost profits, or cost of replacement goods or services
- Indirect, incidental, special, exemplary, punitive, or consequential damages of any kind
- Third-party claims brought against you as a result of your use of any third-party Product
7.2 Maximum liability
IN NO EVENT SHALL QUOX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE MARKETPLACE OR ANY THIRD-PARTY PRODUCT EXCEED THE TOTAL FEES PAID BY YOU TO QUOX (NOT TO DEVELOPERS) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7.3 Release and waiver
You release Quox from all claims arising from third-party Products, including claims for product liability, data breaches by Developers, intellectual property infringement by Developers, and any other claims relating to the quality, functionality, security, or legality of third-party Products.
7.4 Jurisdictional limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
8. Reviews and ratings
8.1 Verified purchasers
Only verified purchasers may leave reviews and ratings for Products on the Marketplace. A "verified purchaser" is an End User who has purchased and installed the Product through the Marketplace.
8.2 Honest reviews
Reviews must be honest, accurate, and based on your genuine experience with the Product. You must not submit reviews that are misleading, defamatory, or that contain false statements of fact.
8.3 Prohibited conduct
The following conduct is prohibited in relation to reviews and ratings:
- Submitting fake, paid, or incentivised reviews
- Submitting reviews for Products you have not purchased or used
- Submitting multiple reviews for the same Product
- Coordinating with others to manipulate ratings
- Submitting reviews that contain personal attacks, hate speech, or illegal content
8.4 Review moderation
Quox may remove or moderate reviews that violate these terms, contain fraudulent content, or are otherwise inappropriate. Quox is not obligated to publish, maintain, or display any review.
9. Verification badges
9.1 What "Verified Developer" means
The "Verified Developer" badge indicates that Quox has confirmed this Developer's legal identity through Companies House registration records and/or government-issued identification.
9.2 What "Verified Developer" does NOT mean
This verification process confirms the Developer's identity only. It is NOT a guarantee, endorsement, or certification of the quality, security, reliability, fitness, or legality of any Product offered by this Developer. Quox's pre-listing review of a Product is not a comprehensive security audit, an endorsement, or a warranty that a Product is free of defects, and it does not extend to certifying the quality, security, reliability, fitness, or legality of third-party Products. Users should conduct their own due diligence before purchasing or installing any third-party Product.
9.3 Companies House and identity verification
Identity verification is performed against Companies House (UK) and/or Dun & Bradstreet (international) records. This confirms that the entity is a registered business. It does not verify the entity's financial status, creditworthiness, reputation, or the quality of its products or services.
10. Privacy and data sharing
10.1 Quox's privacy policy
Your use of the Marketplace is subject to our Privacy Policy, which describes how Quox collects, uses, and protects your personal data in connection with the Marketplace.
10.2 Data shared with Developers
When you purchase or install a Product, certain information may be shared with the Developer to enable the transaction and product delivery. This may include your name, email address, organisation name, and workspace context. The legal basis for this sharing is the performance of the contract between you and the Developer.
10.3 Developer privacy policies
Each Developer is required to maintain their own privacy policy governing how they collect, use, and protect your data within their Product. You should review the Developer's privacy policy before purchasing or installing any Product. Quox is not responsible for the data handling practices of Developers.
10.4 Data controller roles
Quox acts as a data controller for your Marketplace account data, browsing behaviour, and purchase history. Developers act as independent data controllers for any data collected by their Products directly from you. Each party independently determines the purposes and means of processing personal data in connection with its own activities.
11. Dispute resolution
11.1 Disputes with Developers
Quox does not adjudicate disputes between End Users and Developers regarding product quality, functionality, or fitness for purpose. If you have a dispute with a Developer, you must resolve it directly with the Developer. Each Product listing displays the Developer's support contact information.
11.2 Quox's limited role
Quox may, at its sole discretion, take action against Developers who violate the Developer Agreement or Acceptable Use Policy, but is under no obligation to do so. Quox may facilitate communication between parties but does not act as a mediator, arbitrator, or adjudicator.
11.3 External resolution
If a dispute cannot be resolved between you and the Developer, you and the Developer must resolve the matter through your own legal channels. Quox will cooperate with reasonable requests for information but is not a party to any proceedings.
12. Governing law and jurisdiction
These Marketplace Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from or relating to these Marketplace Terms or your use of the Marketplace shall be subject to the exclusive jurisdiction of the courts of England and Wales.
The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Marketplace Terms.
If you are a consumer in the European Union, you may also have rights under the laws of your country of residence, and nothing in these terms affects your statutory rights as a consumer.
13. Modifications
We may update these Marketplace Terms from time to time. We will provide at least 30 days' notice of any material changes by posting the updated terms on the Marketplace and notifying you by email. The updated terms will indicate the new "Last updated" date at the top of this page.
Your continued use of the Marketplace after the effective date of any changes constitutes your acceptance of the updated Marketplace Terms. If you do not agree to the updated terms, you must stop using the Marketplace.
14. Severability
If any provision of these Marketplace Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire agreement
These Marketplace Terms, together with our Terms of Service, Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and Quox LTD regarding your use of the Marketplace and supersede all prior agreements and understandings relating to the Marketplace.
