Quox LTD provides software products including but not limited to:

- Compliance and security monitoring tools
These tools can perform automated actions that may have significant, irreversible effects on your systems, data, and infrastructure.
3. Assumption of risk
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- Automation Risks: Our software includes autonomous agents and automation tools that can execute commands, modify configurations, delete data, and perform other significant actions without requiring confirmation for each individual action.
- Infrastructure Impact: Actions performed by our software may affect servers, networks, cloud resources, databases, and other infrastructure components ("your rack and stack").
- Communication Systems: Our software may interact with email servers, messaging systems, and other communication infrastructure, potentially sending, modifying, or deleting messages.
- Financial Systems: Where applicable, our software may integrate with payment processors, accounting systems, and financial infrastructure.
- Data Operations: Our software may create, read, update, and delete data across various systems and databases.
USE OF OUR SOFTWARE IN PRODUCTION ENVIRONMENTS IS ENTIRELY AT YOUR OWN RISK.
4. User responsibilities
4.1 Competency requirements
You represent and warrant that you (or your organisation) have the technical competency, knowledge, and understanding necessary to safely operate automation software. This includes:
- Understanding of the systems you are automating
- Knowledge of potential failure modes and recovery procedures
- Ability to configure appropriate safeguards and limits
- Understanding of backup and disaster recovery procedures
4.2 Testing requirements
You agree to thoroughly test all configurations in non-production environments before deployment. We strongly recommend:
- Testing in isolated sandbox environments first
- Implementing gradual rollouts with monitoring
- Maintaining current backups before any automation deployment
- Having rollback procedures documented and tested
4.3 Monitoring and supervision
You are responsible for monitoring automated actions and maintaining appropriate human oversight of autonomous agents operating in your environment.
5. Acceptable use policy
5.1 Permitted uses
You may use our software for lawful purposes including:
- Automating your own infrastructure and systems
- Managing systems for which you have explicit authorisation
- Development, testing, and educational purposes
- Providing services to clients where you have appropriate agreements
5.2 Prohibited uses
You must not use our software to:
- Access or modify systems without proper authorisation
- Conduct denial of service attacks or system disruption
- Distribute malware or malicious code
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Circumvent security measures on systems you don't own
- Process personal data in violation of data protection laws
- Engage in any activity that could harm Quox LTD or its users
6. Purchases and licensing
6.1 Pricing and payment
All prices are displayed in USD and include applicable taxes where required. We reserve the right to modify prices at any time, but changes will not affect existing purchases. All payments are processed securely through Stripe.
6.2 License grant
Upon purchase, we grant you a non-exclusive, non-transferable license to use the purchased software for personal or commercial purposes, subject to these Terms and any additional license terms provided with specific products.
6.3 License restrictions
You may not:
- Share, distribute, or sell your license key to others
- Reverse engineer, decompile, or disassemble the software
- Remove or modify any proprietary notices
- Sublicense or transfer your license without our written consent
- Use the software to create competing products
7. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The software will be uninterrupted, secure, or error-free
- The software will meet your specific requirements
- Any defects or errors will be corrected
- The software is free of viruses or harmful components
- The results obtained from the software will be accurate or reliable
- Automated actions will execute correctly in all circumstances
- AI agents will make decisions aligned with your intentions
YOU ACKNOWLEDGE THAT AUTONOMOUS AGENTS AND AUTOMATION TOOLS MAY BEHAVE UNEXPECTEDLY, AND SUCH BEHAVIOUR IS NOT A DEFECT BUT AN INHERENT CHARACTERISTIC OF SUCH SYSTEMS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOX LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
8.1 Excluded damages
- Infrastructure Damage: Any damage to servers, hardware, cloud resources, networks, or other infrastructure components ("your rack")
- Software and System Damage: Any corruption, deletion, or modification of software, operating systems, configurations, or system state ("your stack")
- Data Loss: Any loss, corruption, deletion, or unauthorised disclosure of data, databases, backups, or information assets
- Communication Disruption: Any interference with, deletion of, or unauthorised sending of emails, messages, or other communications
- Financial Loss: Any direct or indirect financial losses, including lost revenue, lost profits, cost of replacement goods or services, or financial system errors ("your bank")
- Business Interruption: Any downtime, service interruption, or business disruption of any duration
- Consequential Damages: Any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind
- Third-Party Claims: Any claims brought against you by third parties as a result of your use of our software
8.2 Maximum liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SOFTWARE EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
8.3 Basis of the bargain
YOU ACKNOWLEDGE THAT THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND QUOX LTD. QUOX LTD WOULD NOT PROVIDE THE SOFTWARE WITHOUT SUCH LIMITATIONS.
8.4 Jurisdictional limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Quox LTD and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the software or services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any actions performed by automated agents or tools you deployed
- Any claims by third parties related to your use of the software
- Your failure to maintain adequate backups or recovery procedures
10. Third-party integrations
Our software may integrate with or enable connections to third-party services, APIs, and platforms. We are not responsible for:
- The availability, reliability, or security of third-party services
- Any actions taken by our software on third-party platforms
- Changes to third-party APIs that affect our software's functionality
- Your compliance with third-party terms of service
- Any fees or charges incurred from third-party services
Your use of third-party integrations is governed by those third parties' respective terms of service and privacy policies.
11. Intellectual property
All content, software, and materials on our website and in our products are owned by Quox LTD and are protected by intellectual property laws. The purchase of a license grants you a license to use the software, not ownership of the underlying intellectual property.
12. Refunds
We offer a 14-day refund policy for digital products, subject to the terms in our Refund Policy. Please review the refund policy carefully before making a purchase.
13. Termination
We reserve the right to terminate or suspend your access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users or our business, or for any other reason.
Upon termination, your license to use the software will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to: Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.
14. Governing law and jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer in the European Union, you may also have rights under the laws of your country of residence, and nothing in these Terms affects your statutory rights as a consumer.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Quox LTD regarding your use of our services and supersede all prior agreements and understandings.
17. Changes to terms
We may update these Terms from time to time. We will notify users of significant changes via email or website notice. Continued use of our services after changes constitutes acceptance of the new Terms.
